BANDZLANDIA TERMS OF SERVICE

SECTION 1 — OVERVIEW AND ACCEPTANCE
This website and the related Services are operated by Bandzlandia LLC, a Florida limited liability company (“Bandzlandia,” “we,” “us,” or “our”).
These Terms of Service (“Terms”) apply to anyone who:
- Accesses Bandzlandia.com;
- Purchases products or Services from Bandzlandia;
- Enrolls in a Bandzlandia program;
- Participates in Bandzlandia University or a Bandzlandia community;
- Earns commissions, referral payments, profit distributions, or payouts through Bandzlandia;
- Uses Bandzlandia manufacturing, design, website, marketing, storage, fulfillment, or warehouse Services;
- Submits a project request, quote request, product, design, testimonial, or other material to Bandzlandia; or
- Enters into a separate agreement that incorporates these Terms.
The terms “you,” “your,” “Member,” “Visionary,” “Brand Partner,” and “Partner” refer to the individual or organization using the Services.
Bandzlandia provides brand education, community programs, ecommerce support, website development, digital services, manufacturing, product development, marketing support, marketplace access, storage, fulfillment, warehouse coordination, and related services collectively referred to as the “Services.”
By accessing the website, completing checkout, enrolling in a program, accepting a quote, paying an invoice, approving a proof, submitting inventory, or receiving a payout, you agree to these Terms and any applicable policy, addendum, quote, invoice, program description, or written agreement incorporated into them.
If you do not agree to these Terms, you may not use the Services.
SECTION 2 — DEFINITIONS
For purposes of these Terms:
“Brand Partner Programs” means Brand Partner Legacy and the Brand Partner Plus programs.
“Brand Partner Legacy” means the marketplace-based program through which approved products may be listed and sold through Bandzlandia.com.
“Brand Partner Plus” means the independent ecommerce support program consisting of:
- Level One — Launch;
- Level Two — Growth;
- Level Three — Expansion; and
- Level Four — Warehouse.
“Housed Inventory” means products physically received, counted, stored, managed, or fulfilled by Bandzlandia.
“Made-to-Order Product” means a product produced, sourced, decorated, printed, assembled, programmed, or manufactured after an order is placed rather than maintained as Housed Inventory.
“Net Profit” means customer revenue actually received after applicable direct costs and deductions.
“Minor Website Edit” means a limited modification to existing content, images, links, banners, collections, products, or settings that does not require custom coding, a new custom page, extensive design work, a major redesign, or an advanced integration.
“Simple Product Upload” means a standard product listing using complete information and assets supplied by the customer, without extensive variants, subscriptions, bundles, personalization, or advanced configuration.
“Qualified Sale” means a completed and verified transaction that has cleared payment review and has not been canceled, refunded, returned, charged back, disputed, or identified as fraudulent.
“Business Day” means Monday through Friday, excluding federal holidays and days when Bandzlandia is closed.
SECTION 3 — ELIGIBILITY AND AUTHORITY
By using the Services, you represent that:
- You are at least the age of majority in your jurisdiction;
- You have legal authority to enter into these Terms;
- If acting for a company, you are authorized to bind that company;
- The information you provide is accurate and current;
- You will not use the Services for unlawful or unauthorized purposes; and
- You own or have permission to use all products, names, artwork, designs, logos, photographs, videos, trademarks, and other materials you submit.
Bandzlandia may request identification, tax documents, business records, payment information, ownership information, intellectual-property documentation, or other verification before providing Services or releasing funds.
SECTION 4 — GENERAL CONDITIONS
Bandzlandia may, subject to applicable law:
- Accept or refuse a customer, project, product, or program application;
- Require products and content to meet quality and operational standards;
- Refuse products that create legal, safety, financial, reputational, or fulfillment risks;
- Modify how Services are delivered;
- Suspend access during investigations involving fraud, security, disputes, infringement, or misconduct;
- Require additional agreements for specialized Services; and
- Use approved contractors, manufacturers, carriers, software providers, platforms, or service providers to perform parts of the Services.
You may not reproduce, resell, exploit, reverse engineer, distribute, or misuse Bandzlandia training, templates, workflows, systems, website components, code, pricing methods, or proprietary resources without written permission.
SECTION 5 — CHANGES TO TERMS, PROGRAMS, AND PRICING
Bandzlandia may update these Terms, program prices, benefits, storage limits, fulfillment requirements, add-on pricing, and Service availability.
Material changes affecting an active paid membership will generally become effective at the next renewal after reasonable notice unless an immediate change is required because of:
- Applicable law;
- Security concerns;
- Third-party platform rules;
- Supplier or carrier changes;
- Fraud prevention;
- Safety concerns; or
- Operational necessity.
The current product page, quote, invoice, signed agreement, or program addendum controls the price and scope of a new purchase.
Continued use after revised Terms become effective constitutes acceptance of the revised Terms.
SECTION 6 — ACCOUNTS, SECURITY, AND SHOPIFY ACCESS
You are responsible for protecting passwords, authentication codes, payment methods, and account credentials.
You must promptly notify Bandzlandia of unauthorized use or security concerns.
When Bandzlandia requires access to Shopify or another platform, access must be provided through an approved:
- Shopify collaborator account;
- Staff account;
- Agency account;
- User account;
- Role-based permission; or
- Other platform-supported access method.
Bandzlandia will not request or use a Shopify store owner’s personal password.
Customers must not send owner passwords, personal authentication codes, or personal recovery credentials to Bandzlandia.
The customer must provide Bandzlandia only the permissions reasonably necessary to complete the authorized Services.
You may not remove or materially restrict approved access while:
- Paid Services are active;
- Approved work remains incomplete;
- Orders remain open;
- Inventory is being stored or fulfilled;
- Settlements remain unreconciled;
- Payouts or chargebacks remain pending; or
- Undisputed amounts remain owed.
Bandzlandia will use account access only for authorized Services, recordkeeping, security, fraud prevention, and dispute resolution.
The customer retains ownership of its Shopify store, domain, accounts, and customer information, subject to outstanding contractual obligations.
SECTION 7 — REQUIRED PROGRAM AND SERVICE ADDENDA
These Terms provide the general rules governing Bandzlandia Services.
Additional written terms are required for certain Services.
Depending on the Services selected, Bandzlandia may require one or more of the following:
- Brand Partner Enrollment Addendum;
- Inventory and Fulfillment Addendum;
- Website or Digital Services Statement of Work;
- Manufacturing or Custom Product Approval;
- Email and SMS Compliance Addendum;
- Advertising Management Addendum;
- Testimonial and Media Release;
- Consignment or Marketplace Addendum; or
- Other project-specific agreement.
No Housed Inventory will be accepted until the applicable inventory documentation has been completed.
A program addendum should identify:
- The selected program;
- Monthly price;
- Activation fee;
- Renewal date;
- Included Services;
- Included storage;
- Revenue-sharing terms;
- Settlement method;
- Cancellation requirements;
- Authorized payment method; and
- Authorized products or inventory.
SECTION 8 — ORDERS, QUOTES, AND PROJECT APPROVAL
Product pages, request buttons, estimates, consultations, email discussions, and service menus do not create a binding project obligation until Bandzlandia accepts the project and confirms the applicable terms.
Custom projects may require:
- A consultation;
- A written scope;
- A deposit or full payment;
- A completed intake form;
- Artwork approval;
- Account access;
- Product information;
- Customer-supplied content; and
- Written approval of pricing and timing.
A quote applies only to the work described in that quote.
Additional requests or changes may result in:
- Additional charges;
- Revised delivery dates;
- A revised scope;
- A new quote; or
- A pause until the change is approved.
SECTION 9 — BILLING AND PAYMENT
You agree to provide current and accurate billing, tax, payment, account, and contact information.
Bandzlandia may:
- Require payment before beginning work;
- Require a deposit;
- Maintain an authorized payment method;
- Refuse or cancel an order;
- Pause Services while payment is pending;
- Deduct undisputed balances from amounts otherwise payable to you; and
- Recover reasonable collection costs where permitted by law.
You authorize Bandzlandia and its payment processors to charge approved:
- Purchases;
- Recurring membership fees;
- Activation or onboarding fees;
- Storage charges;
- Fulfillment costs;
- Add-ons;
- Overage charges;
- Return expenses;
- Shipping expenses; and
- Other amounts authorized by the applicable agreement or invoice.
SECTION 10 — RECURRING BILLING AND AUTOMATIC RENEWAL
Paid Brand Partner programs renew monthly unless otherwise disclosed in writing.
Before enrollment, Bandzlandia will clearly disclose:
- The recurring price;
- Billing frequency;
- Activation or onboarding fees;
- Included benefits;
- Automatic-renewal terms;
- Cancellation method; and
- Material third-party expenses.
Recurring charges require the customer’s affirmative authorization.
A prechecked box, hidden disclosure, or mere use of the website will not by itself create recurring-payment authorization.
By affirmatively enrolling, you authorize Bandzlandia to charge the approved payment method each billing period until cancellation.
Bandzlandia will provide a reasonable electronic method for cancellation, which may include:
- A customer-account cancellation option;
- Subscription-management link;
- Written cancellation request; or
- Email to admin@bandzlandia.com.
Bandzlandia will not require a customer to use an unnecessarily difficult cancellation method compared with the method used to enroll.
SECTION 11 — CANCELLATION, DOWNGRADES, AND UNUSED BENEFITS
A cancellation request prevents future renewals after it becomes effective.
Cancellation does not:
- Refund previously billed membership fees;
- Cancel completed work;
- Cancel pending approved custom work;
- Eliminate unpaid balances;
- Remove storage or inventory obligations;
- Eliminate chargebacks or return obligations; or
- Cancel amounts already authorized under an approved invoice.
Unless otherwise stated in writing, cancellations become effective at the end of the current paid billing period.
Monthly edits, uploads, calls, content benefits, and similar allowances:
- Must be used during the applicable billing period;
- Do not roll over;
- Have no cash value;
- Cannot be transferred;
- Cannot be exchanged for unrelated Services; and
- Expire when the program ends.
Downgrades normally become effective at the next billing period.
A Partner may not downgrade below the level required for the Partner’s current inventory volume until the excess inventory is removed or an overage arrangement is approved.
SECTION 12 — ACTIVATION AND ONBOARDING FEES
Activation and onboarding fees compensate Bandzlandia for setup, consultation, planning, store preparation, technical work, and administration.
Activation and onboarding fees are generally non-refundable after onboarding work begins.
Bandzlandia may reduce or waive an activation fee through a promotion.
A promotional waiver does not waive:
- Monthly membership fees;
- Shopify expenses;
- Third-party platform expenses;
- Inventory obligations;
- Fulfillment requirements;
- Revenue-sharing terms; or
- Any requirement not specifically identified in the promotion.
SECTION 13 — FAILED PAYMENTS AND DELINQUENT ACCOUNTS
If a payment fails or an account becomes delinquent, Bandzlandia may pause:
- Website work;
- Product uploads;
- Manufacturing;
- Fulfillment;
- Inventory intake;
- Marketing;
- Strategy calls;
- Customer support;
- Payouts; and
- Other benefits.
The customer remains responsible for amounts incurred before suspension.
Continued nonpayment may result in:
- Program termination;
- Collection activity;
- Continued storage charges;
- Inventory-removal requirements;
- Deduction from Partner proceeds; or
- Other remedies permitted by the applicable addendum and law.
Bandzlandia will not knowingly charge an amount that has been reasonably disputed until the dispute is reviewed.
SECTION 14 — MANUFACTURING AND CUSTOM PRODUCTS
Manufacturing, printing, embroidery, DTF, sublimation, 3D printing, NFC products, custom merchandise, and promotional products are subject to:
- Product availability;
- Supplier availability;
- Material availability;
- Artwork approval;
- Production capacity;
- Minimum order requirements;
- Manufacturing tolerances;
- Customer response times; and
- Final payment.
Production timelines are estimates unless Bandzlandia provides a specific written guarantee.
Bandzlandia is not responsible for delays caused by:
- Supplier shortages;
- Carrier delays;
- Equipment failure;
- Platform outages;
- Late approvals;
- Customer revisions;
- Missing information;
- Weather;
- Emergencies; or
- Other circumstances outside Bandzlandia’s reasonable control.
SECTION 15 — ARTWORK, PROOFS, AND APPROVALS
Customers must review all proofs and production specifications, including:
- Spelling;
- Names;
- Dates;
- Colors;
- Sizes;
- Product selections;
- Quantities;
- Placement;
- Links;
- QR codes;
- NFC destinations;
- Contact information; and
- Other details.
Once a proof is approved, Bandzlandia may rely on that approval.
Bandzlandia is not responsible for an error that appeared in an approved proof unless Bandzlandia changed the approved material without authorization.
Screens, mockups, digital proofs, samples, inks, fabrics, plastics, materials, texture, lighting, printers, and production processes may cause reasonable color or appearance variations.
Reasonable production variation is not automatically a defect.
SECTION 16 — SHIPPING AND DELIVERY
Shipping dates are estimates unless expressly guaranteed in writing.
Customers are responsible for supplying a complete and accurate delivery address.
Bandzlandia is not responsible for carrier delays, weather delays, customs delays, theft after confirmed delivery, or misdelivery caused by an incorrect address supplied by the customer.
Claims involving shipping loss or damage must be reported promptly and may require:
- Photographs;
- Video;
- Original packaging;
- Tracking information;
- Delivery records; or
- Other documentation.
Bandzlandia will reasonably assist with eligible carrier claims but cannot guarantee carrier reimbursement.
SECTION 17 — RETURNS, REFUNDS, AND CUSTOM GOODS
Custom, personalized, decorated, programmed, printed, manufactured, or specially sourced products are generally non-returnable and non-refundable unless:
- Bandzlandia made a verified production error;
- The product has a confirmed manufacturing defect; or
- Applicable law requires a remedy.
Custom-product concerns must generally be reported within seven calendar days after delivery.
Bandzlandia may choose an appropriate remedy, including:
- Repair;
- Reprint;
- Replacement;
- Store credit;
- Partial refund; or
- Refund.
Standard non-custom products are subject to the separately posted Return and Refund Policy.
Membership fees, completed consultations, completed digital work, completed website work, and work already performed are generally non-refundable unless otherwise stated.
SECTION 18 — THIRD-PARTY PLATFORMS AND SERVICES
Bandzlandia may assist with:
- Shopify;
- Meta;
- Facebook;
- Instagram;
- TikTok;
- Google;
- Email platforms;
- SMS platforms;
- Payment processors;
- Domain providers;
- Advertising platforms;
- Applications;
- Manufacturers;
- Carriers; and
- Other third parties.
Bandzlandia does not own or control those providers and does not guarantee:
- Account approval;
- Verification;
- Product acceptance;
- Advertising approval;
- Search ranking;
- Platform availability;
- Software compatibility;
- Continued account access; or
- Third-party policy decisions.
The customer is responsible for third-party:
- Subscription charges;
- Application fees;
- Theme costs;
- Domain costs;
- Advertising budgets;
- Messaging charges;
- Processing fees; and
- Usage charges,
unless a written quote states otherwise.
SECTION 19 — PRIVACY, COOKIES, AND CUSTOMER DATA
Bandzlandia’s collection and use of personal information is governed by its separately posted Privacy Policy.
The Privacy Policy should explain:
- Information collected;
- Reasons for collection;
- Shopify and payment processing;
- Cookies and tracking technologies;
- Analytics and advertising pixels;
- Email and SMS information;
- Uploaded files;
- Data retention;
- Security practices;
- Customer privacy requests; and
- Third-party disclosures.
The use of cookies or nonessential tracking technologies may also be subject to a separate cookie notice or consent system.
For Legacy marketplace transactions, Bandzlandia controls the Bandzlandia.com marketplace, checkout, and marketplace records.
For Brand Partner Plus stores, the Brand Partner owns its independent store and business customer data, subject to applicable law and platform terms.
Bandzlandia may access and process customer data only as reasonably necessary to:
- Provide contracted Services;
- Process orders;
- Manage inventory;
- Prevent fraud;
- Maintain records;
- Resolve disputes; and
- Comply with law.
Each Partner remains responsible for its own privacy disclosures, marketing permissions, and data practices.
SECTION 20 — USER CONTENT AND INTELLECTUAL PROPERTY
You retain ownership of original materials you lawfully own.
By submitting content for the performance of Services, you grant Bandzlandia a non-exclusive, worldwide, royalty-free license to use, store, reproduce, format, resize, transmit, and display the content as reasonably necessary to:
- Complete authorized work;
- Manufacture products;
- Build or manage websites;
- List products;
- Fulfill orders;
- Provide support;
- Maintain records; and
- Comply with legal obligations.
You represent that submitted materials do not infringe another party’s rights.
You are responsible for claims arising from infringing or unauthorized materials you supply.
SECTION 21 — CUSTOM DELIVERABLES AND BANDZLANDIA PROPERTY
After full payment, the customer receives the rights expressly described in the applicable quote or agreement.
Unless specifically included, the customer does not automatically receive:
- Editable source files;
- Raw design files;
- Development repositories;
- Internal prompts;
- Working files;
- Production methods;
- Proprietary templates;
- Reusable code libraries;
- Vendor information;
- Pricing formulas; or
- Internal workflows.
Bandzlandia retains ownership of preexisting and general-use:
- Templates;
- Training;
- Systems;
- Processes;
- Methods;
- Code;
- Tools;
- Educational materials;
- Pricing systems; and
- Intellectual property.
When Bandzlandia property is incorporated into a completed deliverable, the customer receives a limited license to use that property only as part of the completed deliverable.
SECTION 22 — HONEST REVIEWS AND CUSTOMER FEEDBACK
Nothing in these Terms prohibits a customer from providing an honest opinion, review, complaint, photograph, video, or assessment of Bandzlandia’s Services.
Bandzlandia will not require a customer to remove an honest negative review merely because Bandzlandia disagrees with the customer’s opinion.
Nothing prevents Bandzlandia from addressing content that:
- Is knowingly false;
- Is defamatory under applicable law;
- Contains protected confidential information;
- Contains private financial, medical, personnel, or customer information;
- Infringes intellectual-property rights;
- Contains threats;
- Is harassing or abusive;
- Impersonates another person;
- Is unrelated to the Services;
- Is fraudulent; or
- Constitutes a fake review.
Bandzlandia will not purchase or request reviews conditioned on the reviewer expressing a positive opinion.
SECTION 23 — TESTIMONIAL AND MEDIA RELEASES
Submitting a normal customer-service message or private comment does not automatically authorize Bandzlandia to use it in advertising.
Before Bandzlandia uses an identifiable testimonial, video, photograph, voice recording, or success story for advertising, the participant must provide affirmative written or electronic permission through a testimonial or media release.
The release may authorize Bandzlandia to:
- Use the participant’s approved name;
- Use the participant’s brand name;
- Display submitted video or photographs;
- Edit the material for length, captions, size, or format;
- Use the material on websites, social media, advertisements, presentations, and landing pages; and
- Retain completed promotional materials already created.
Testimonials must reflect the person’s genuine experience.
Any payment, free product, discount, partnership, employment, referral arrangement, or other material connection must be disclosed when legally required.
A participant may request prospective withdrawal of marketing permission, but withdrawal will not require destruction of materials already printed, published, distributed, or incorporated into completed campaigns unless legally required.
SECTION 24 — BANDZLANDIA VISIONARY PROGRAM
The Visionary Program is Bandzlandia’s free community and educational entry point.
Benefits may include:
- Bandzlandia University;
- The Blueprint Course;
- Community-chat access;
- Community calls;
- Networking;
- Collaboration opportunities;
- Promotional codes;
- Referral opportunities; and
- Eligibility to apply for paid programs.
Visionary benefits have no cash value and may be modified or discontinued.
Bandzlandia may remove a participant for:
- Harassment;
- Spam;
- Fraud;
- Infringement;
- Misrepresentation;
- Unauthorized promotion;
- Community disruption;
- Threats; or
- Violation of community standards.
Visionary Referral Commissions
Unless a campaign states otherwise, a Visionary may earn 30% of eligible Net Profit attributable to Qualified Sales generated through an approved tracking code or link.
The following may be deducted before determining eligible Net Profit:
- Product costs;
- Manufacturing costs;
- Discounts;
- Shipping;
- Packaging;
- Taxes;
- Payment fees;
- Refunds;
- Returns;
- Chargebacks;
- Fraud losses; and
- Other direct expenses.
No commission is earned on canceled, returned, refunded, fraudulent, disputed, or uncollected transactions.
Visionaries may not:
- Generate fraudulent self-referrals;
- Spam potential customers;
- Make unauthorized guarantees;
- Misrepresent Bandzlandia;
- Use deceptive advertising;
- Manipulate tracking systems; or
- Conceal their material relationship with Bandzlandia when disclosure is required.
SECTION 25 — BRAND PARTNER LEGACY
Current Standard Price
$79.99 per month
Purpose
Legacy is designed for approved creators who want to sell through Bandzlandia.com without independently operating a Shopify storefront.
Included Benefits
Legacy may include:
- A dedicated marketplace presence;
- Approved listings on Bandzlandia.com;
- Bandzlandia University access;
- Community access;
- Biweekly accountability calls;
- One monthly analytics or strategy call;
- A monthly 30-day content strategy;
- Product and launch guidance;
- Manufacturing discounts;
- Shared marketing opportunities;
- Collaboration eligibility;
- Monthly sales reporting; and
- Monthly Partner distributions.
Marketplace Ownership
Bandzlandia owns and controls Bandzlandia.com, its site design, marketplace systems, checkout, operational methods, and marketplace policies.
The Partner retains ownership of its lawful brand assets, products, logos, and original intellectual property.
Legacy Revenue Share
Approved marketplace sales are subject to:
- 60% of Net Profit to the Brand Partner; and
- 40% of Net Profit to Bandzlandia.
Bandzlandia’s compensation is the greater of:
- 40% of Net Profit; or
- $7.50 per completed fulfilled order,
unless another structure is approved in writing.
SECTION 26 — BRAND PARTNER PLUS GENERAL TERMS
Brand Partner Plus supports brands that own or establish their own Shopify store.
The Partner is responsible for:
- Shopify subscription fees;
- Domain costs;
- Premium themes;
- Paid applications;
- Processing fees;
- Platform transaction fees;
- Advertising budgets;
- Email or SMS charges; and
- Other third-party expenses.
Bandzlandia provides only the Services included in the selected level.
Additional work is separately quoted or invoiced.
SECTION 27 — LEVEL ONE: LAUNCH
Price
- $49.99 per month
- $150 activation fee, unless reduced or waived by promotion
Included Services
Launch may include:
- Basic Shopify setup using an approved free theme;
- Basic homepage or landing page;
- Logo and brand-color integration;
- Basic font selection;
- Announcement bar;
- Header and footer;
- Standard navigation;
- Social links;
- About page;
- Contact page;
- Standard policy pages;
- Basic collection organization;
- Basic mobile review;
- Basic payment and shipping assistance;
- University and community access;
- Manufacturing discounts;
- Up to two Minor Website Edits per month; and
- Up to three Simple Product Uploads or updates per month.
Launch does not include Housed Inventory storage or fulfillment.
SECTION 28 — LEVEL TWO: GROWTH
Price

- $150 activation fee, unless reduced or waived by promotion
Growth includes the standard Launch benefits plus:
- Up to five Minor Website Edits per month;
- Up to eight Simple Product Uploads or updates per month;
- One monthly strategy call;
- Product-pricing guidance;
- Launch guidance;
- Basic traffic and sales review;
- Basic seasonal homepage updates;
- Product and collection organization;
- Storage for up to 40 approved apparel-sized pieces; and
- Approved Housed Inventory fulfillment.
SECTION 29 — LEVEL THREE: EXPANSION
Price
- $199.99 per month
- $200 activation fee, unless reduced or waived by promotion
Expansion includes the standard Growth benefits plus:
- Up to ten Minor Website Edits per month;
- Up to fifteen Simple Product Uploads or updates per month;
- Up to two strategy calls per month;
- Basic SEO support;
- Homepage campaign updates;
- Product-launch page support;
- Monthly performance reporting;
- Conversion recommendations;
- Campaign planning;
- Promotional-calendar planning;
- Wholesale-readiness guidance;
- Inventory planning;
- Priority website support;
- Priority manufacturing coordination; and
- Storage for up to 100 approved apparel-sized pieces.
SECTION 30 — LEVEL FOUR: WAREHOUSE
Price
- Starting at $399.99 per month
- $300 warehouse onboarding fee, unless reduced or waived by promotion
Final pricing may depend on:
- Product size;
- Number of SKUs;
- Storage footprint;
- Order volume;
- Packaging requirements;
- Special handling;
- Product value;
- Fragility; and
- Operational complexity.
Warehouse includes the standard Expansion benefits plus:
- Up to fifteen Minor Website Edits per month;
- Up to twenty-five Simple Product Uploads or updates per month;
- Priority receiving;
- Priority fulfillment;
- Monthly inventory reconciliation;
- Low-stock alerts;
- Restock coordination;
- Wholesale-order coordination;
- Monthly warehouse and growth review;
- Priority manufacturing coordination; and
- Storage for up to 1,000 approved standard folded apparel-sized pieces.
Standard Storage Overages
- 1,001–1,500 pieces: additional $150 per month;
- 1,501–2,500 pieces: additional $300 per month; and
- More than 2,500 pieces: custom pricing.
Oversized, fragile, high-value, regulated, perishable, hazardous, climate-sensitive, palletized, hanging, or unusually complex inventory requires written approval and may be refused.
SECTION 31 — HOUSED INVENTORY REVENUE SHARE
When Bandzlandia physically receives, stores, manages, and fulfills merchandise, applicable sales are subject to:
- 60% of Net Profit to the Brand Partner; and
- 40% of Net Profit to Bandzlandia.
Direct costs may include:
- Verified product cost;
- Manufacturing or decoration;
- Shipping labels;
- Carrier charges;
- Packaging;
- Payment-processing fees;
- Platform transaction fees;
- Taxes;
- Discounts;
- Refunds;
- Returns;
- Chargebacks;
- Fraud losses;
- Customer-service adjustments; and
- Other documented direct order expenses.
Bandzlandia’s minimum fulfillment compensation is the greater of:
- 40% of Net Profit; or
- $7.50 per completed fulfilled order,
unless otherwise agreed in writing.
Bandzlandia may reject a product, require a higher retail price, or establish another fee if the product’s margin does not reasonably cover storage, service, handling, fulfillment, and administration.
SECTION 32 — INVENTORY OWNERSHIP, CONSIGNMENT, AND CREDITOR RIGHTS
Title to Partner-owned Housed Inventory remains with the Partner unless transferred through a separate written sale or agreement.
Placing products with Bandzlandia does not automatically transfer ownership to Bandzlandia.
The parties acknowledge that an inventory arrangement may be legally characterized differently depending on:
- Who owns the inventory;
- Where sales occur;
- Who controls pricing;
- Who processes the transaction;
- Who bears the risk of loss; and
- Applicable commercial law.
Nothing in these Terms is intended to improperly avoid, waive, or alter rights under applicable Uniform Commercial Code provisions.
When an arrangement may qualify as a legal consignment, the Partner and Bandzlandia agree to cooperate in executing any documents reasonably recommended by legal counsel to:
- Document ownership;
- Protect the parties from creditor claims;
- Authorize appropriate notices;
- Complete UCC filings; or
- Clarify inventory-disposition rights.
The applicable Inventory and Fulfillment Addendum will control the specific arrangement.
SECTION 33 — INVENTORY RECEIVING AND COUNTS
Bandzlandia will count inventory after receipt.
Bandzlandia’s count becomes the opening inventory count unless disputed with supporting evidence within seven calendar days.
One standard inventory intake per month is included for Growth, Expansion, and Warehouse, subject to reasonable operational limits.
Inventory must arrive:
- With an accurate packing list;
- Properly labeled;
- Clean;
- Organized;
- Folded or packaged as required; and
- Ready for storage.
Additional counting, sorting, folding, labeling, repackaging, correction, or data entry may be charged at $35 per labor hour.
SECTION 34 — SLOW-MOVING INVENTORY AND PROGRAM EXIT
Inventory unsold for more than 180 days may be subject to:
- Additional storage charges;
- Price-adjustment recommendations;
- Required inventory reduction;
- Return to the Partner; or
- A written disposition plan.
When a program ends, the Partner must arrange pickup or prepaid return shipping.
Unless another written deadline applies:
- The Partner will receive written removal instructions;
- The Partner will have at least 30 days to arrange removal;
- Storage and handling charges may continue while the inventory remains;
- Bandzlandia may hold inventory to the extent permitted by an applicable signed agreement and law while undisputed balances remain unpaid; and
- Bandzlandia will provide an additional written notice before pursuing disposal, donation, liquidation, or other remedies.
Inventory will not automatically become Bandzlandia property solely because a membership ends or a removal deadline passes.
Any liquidation, donation, disposal, lien enforcement, or application of sale proceeds must comply with:
- The signed Inventory and Fulfillment Addendum;
- Required notices;
- Applicable law; and
- Any legally required commercial procedure.
SECTION 35 — INVENTORY CARE AND INSURANCE
Bandzlandia will use reasonable care in handling approved inventory.
Bandzlandia does not represent or promise that Partner-owned inventory is insured.
Any insurance maintained by Bandzlandia is primarily for Bandzlandia’s benefit and does not automatically make a Partner an insured party, loss payee, or third-party beneficiary.
Partners are responsible for obtaining any desired:
- Inventory insurance;
- Commercial property coverage;
- Product-liability insurance;
- Inland-marine coverage;
- Cyber coverage; or
- Other business insurance.
Bandzlandia is not responsible for:
- Manufacturer defects;
- Concealed damage;
- Normal wear;
- Product deterioration;
- Supplier defects;
- Inaccurate labeling;
- Carrier damage;
- Packaging failure;
- Events outside reasonable control; or
- Theft or damage not caused by Bandzlandia’s proven negligence.
For physical loss caused by Bandzlandia’s proven negligence, liability is limited to the documented wholesale or reasonable replacement cost of the affected inventory, subject to applicable law and the general liability limitations below.
SECTION 36 — RETURNS, CHARGEBACKS, AND NEGATIVE BALANCES
Refunds, returns, chargebacks, fraud losses, payment disputes, processing fees, return shipping, and other direct expenses are deducted before Partner distributions.
Standard return inspection and restocking may be charged at $5 per returned order.
Cleaning, relabeling, repackaging, correction, or special return processing may be charged at $35 per labor hour.
If deductions exceed funds otherwise payable to the Partner, the negative balance may be:
- Carried forward;
- Invoiced;
- Charged to an authorized payment method; or
- Deducted from future payouts.
Bandzlandia may maintain a reasonable reserve for pending returns, disputes, fraud reviews, or chargebacks.
SECTION 37 — ONE-OFF AND MADE-TO-ORDER PRODUCTS
Products not stored by Bandzlandia may be approved for one-off or made-to-order production.
The 60/40 Housed Inventory split does not apply unless separately agreed in writing.
Bandzlandia may invoice for:
- Blank products;
- Sourcing;
- Decoration;
- Manufacturing;
- Production labor;
- Artwork preparation;
- Packaging;
- Shipping;
- Processing;
- Rush service;
- Special handling; and
- Bandzlandia’s profit.
The Partner may establish its retail price and retains the amount remaining after Bandzlandia’s charges and the Partner’s other expenses.
Production generally begins after:
- Payment;
- Artwork approval;
- Product availability confirmation; and
- Receipt of all required information.
SECTION 38 — MONTHLY RECONCILIATION AND PAYOUTS
Partners participating in independent-store fulfillment or revenue sharing may be required to maintain Shopify Balance or another approved settlement account.
Settlement reports may include:
- Gross revenue;
- Discounts;
- Taxes;
- Product costs;
- Processing fees;
- Shipping;
- Packaging;
- Refunds;
- Returns;
- Chargebacks;
- Net Profit;
- Bandzlandia’s share;
- Partner distributions; and
- Reserves.
Payouts are generally calculated monthly after reconciliation.
Bandzlandia may delay or adjust a payout when:
- Customer payment has not cleared;
- A return window remains open;
- Fraud is suspected;
- A chargeback is pending;
- Tax information is missing;
- The account is delinquent;
- Records are incomplete; or
- An amount is reasonably disputed.
Partners should report statement disputes within ten calendar days after receiving the statement.
SECTION 39 — WEB SERVICES AND ADD-ONS
Bandzlandia offers separately priced website, ecommerce, graphics, sales-channel, email, SMS, marketing, advertising, and digital-development Services.
Clicking Request This Service, opening an email request, or submitting an inquiry does not create an obligation for either party.
Bandzlandia may respond with:
- A proposed scope;
- Timeline;
- Quote;
- Invoice;
- Deposit requirement;
- Statement of work; and
- List of required materials.
Listed prices are standard or starting prices.
Complex work, custom coding, advanced integrations, missing content, additional revisions, and expanded project requirements may require custom pricing.
SECTION 40 — WEBSITE AND DIGITAL PROJECT RESPONSIBILITIES
Customers requesting digital Services must timely provide:
- Correct account access;
- Brand assets;
- Product information;
- Photographs;
- Written content;
- Policies;
- Pricing;
- Shipping information;
- Business information;
- Platform permissions; and
- Approvals.
Project timelines pause while Bandzlandia waits for required information, payment, access, feedback, or approval.
Bandzlandia is not responsible for:
- Poor-quality customer-supplied media;
- Inaccurate customer information;
- Platform rejection;
- Search-ranking changes;
- Advertising performance;
- Customer-provided infringement;
- Missing legal disclosures; or
- Delays caused by incomplete materials.
SECTION 41 — EMAIL AND SMS COMPLIANCE
Acceptance of these Terms does not by itself constitute consent to receive marketing text messages.
Bandzlandia will obtain separate consent where legally required before sending promotional SMS communications.
A client purchasing email or SMS Services must sign or electronically accept an Email and SMS Compliance Addendum.
The client must certify that:
- Contact information was lawfully obtained;
- Required consent was obtained;
- Consent records are maintained;
- Recipients are provided required opt-out options;
- Opt-out requests are promptly honored;
- Sender information is accurate;
- Subject lines are not deceptive;
- Required business-identification information is included;
- A valid physical postal address is included where required;
- Purchased or scraped lists are not used unlawfully; and
- Messages comply with applicable federal and state requirements.
Bandzlandia may refuse to send or assist with messages that appear deceptive, unlawful, harassing, infringing, or noncompliant.
The client remains responsible for its contact lists, customer consent, content claims, and legal compliance.
SECTION 42 — ADVERTISING, AFFILIATES, AND MARKETING CLAIMS
Advertising budgets are separate from Bandzlandia’s management fees.
Bandzlandia does not guarantee:
- Sales;
- Leads;
- Views;
- Conversion rates;
- Platform approval;
- Account approval;
- Search placement;
- Advertising profitability; or
- Return on advertising spend.
Customers and referral participants must ensure that promotional statements are truthful and supported.
Visionaries, Brand Partners, affiliates, influencers, and other compensated promoters must disclose their relationship with Bandzlandia when legally required.
No participant may make unauthorized:
- Income claims;
- Earnings guarantees;
- Product-performance guarantees;
- Medical claims;
- Legal claims; or
- Statements that Bandzlandia has not approved.
SECTION 43 — TAXES AND INDEPENDENT STATUS
Visionaries, Brand Partners, affiliates, creators, referral participants, and independent service providers are not automatically Bandzlandia employees merely because they participate in a program.
No participant may bind Bandzlandia or enter agreements on Bandzlandia’s behalf without written authority.
Participants are responsible for their own:
- Taxes;
- Business licenses;
- Permits;
- Insurance;
- Recordkeeping; and
- Tax reporting.
Bandzlandia may require:
- Form W-9;
- Identification;
- Taxpayer information;
- Payout information; and
- Other compliance documentation.
Bandzlandia will issue Form 1099 or another information return when required by applicable law.
Payouts may be delayed until legally required tax and identity documentation is complete.
SECTION 44 — CONFIDENTIALITY
Participants may receive confidential information involving:
- Pricing;
- Vendors;
- Customers;
- Internal systems;
- Manufacturing methods;
- Financial information;
- Business plans;
- Launch plans;
- Product-development methods;
- Unreleased technology; and
- Operational strategy.
Confidential information may not be used or disclosed outside the authorized relationship.
Confidentiality does not prevent:
- Honest reviews;
- Legally protected reporting;
- Reports to government agencies;
- Communications with legal or tax advisers;
- Court-ordered disclosures; or
- Disclosure required by law.
SECTION 45 — PROHIBITED USES
You may not use the Services to:
- Violate law;
- Commit fraud;
- Infringe intellectual-property rights;
- Sell counterfeit or stolen goods;
- Misrepresent identity;
- Distribute malware;
- Collect data without authorization;
- Harass or threaten;
- Manipulate commissions;
- Submit fake reviews;
- Circumvent payment obligations;
- Interfere with Bandzlandia systems;
- Make deceptive customer claims;
- Access accounts without authorization; or
- Sell prohibited or regulated goods without required approval.
SECTION 46 — SERVICE TARGETS
Unless another written timeline applies, Bandzlandia’s operational targets may include:
- Housed Inventory shipment within approximately two to five Business Days after a cleared order;
- Standard website edits within approximately five Business Days after receiving required materials;
- Support responses within approximately two Business Days;
- Standard receiving within approximately three Business Days after delivery with an accurate packing list; and
- Made-to-order production according to the applicable quote.
These are targets rather than guarantees.
Rush service requires approval and may involve additional charges.
SECTION 47 — DISCLAIMER OF WARRANTIES
To the fullest extent permitted by law, Services are provided “as is” and “as available.”
Bandzlandia does not warrant that:
- Services will always be uninterrupted;
- Every error will be corrected;
- A platform will remain available;
- A product will generate sales;
- A program will generate a particular result;
- Marketing will generate leads;
- Advertising will be profitable;
- A third party will approve an account; or
- A business will succeed.
Nothing in these Terms excludes a right or warranty that cannot legally be excluded.
SECTION 48 — LIMITATION OF LIABILITY
To the fullest extent permitted by law, Bandzlandia will not be liable for indirect, incidental, punitive, exemplary, special, or consequential damages, including:
- Lost profits;
- Lost opportunities;
- Lost data;
- Reputational harm;
- Loss of customers; or
- Business interruption.
Except for liability that cannot legally be limited, Bandzlandia’s total aggregate liability arising from the Services will not exceed the greater of:
- The amount the claimant paid Bandzlandia during the 12 months preceding the event giving rise to the claim; or
- $100.
These limitations do not apply to liability resulting from Bandzlandia’s fraud, willful misconduct, or gross negligence where such liability cannot legally be limited.
SECTION 49 — INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Bandzlandia LLC and its owners, officers, employees, contractors, affiliates, and service providers from third-party claims arising from:
- Your breach of these Terms;
- Your products;
- Your designs or content;
- Intellectual-property infringement;
- Unlawful marketing;
- Your customer communications;
- Your tax obligations;
- Failure to obtain required consent;
- Product-liability claims;
- Platform-rule violations; or
- Misuse of the Services.
Bandzlandia will provide reasonable notice of an indemnified claim and may participate in the defense.
You may not settle a claim in a manner that admits wrongdoing by Bandzlandia or imposes an obligation on Bandzlandia without written approval.
SECTION 50 — SUSPENSION AND TERMINATION
Bandzlandia may suspend or terminate Services for:
- Nonpayment;
- Fraud;
- Knowingly false chargebacks;
- Misconduct;
- Harassment;
- Legal risk;
- Platform violations;
- Infringement;
- Unsafe products;
- Unauthorized account access;
- Failure to maintain required accounts;
- Repeated failure to respond;
- Material breach; or
- Operational necessity.
Termination does not eliminate:
- Outstanding balances;
- Open orders;
- Customer obligations;
- Returns;
- Chargebacks;
- Inventory-removal duties;
- Confidentiality;
- Intellectual-property obligations;
- Indemnification;
- Dispute provisions; or
- Provisions intended to survive.
SECTION 51 — FORCE MAJEURE
Bandzlandia is not liable for a delay or failure caused by events outside its reasonable control, including:
- Natural disaster;
- Fire;
- Flood;
- Severe weather;
- War;
- Terrorism;
- Civil unrest;
- Government action;
- Epidemic;
- Pandemic;
- Labor disruption;
- Supply shortage;
- Carrier interruption;
- Utility failure;
- Internet outage;
- Cyberattack;
- Platform failure;
- Equipment breakdown; or
- Manufacturer delay.
SECTION 52 — GOVERNING LAW
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles, except where another jurisdiction’s mandatory law applies.
SECTION 53 — INFORMAL DISPUTE PROCESS
Before filing arbitration or litigation, the complaining party must send a written notice containing:
- The person or organization’s name;
- Contact information;
- Description of the dispute;
- Requested remedy;
- Amount involved; and
- Supporting documents.
The parties will attempt in good faith to resolve the dispute for at least 30 days.

SECTION 54 — ARBITRATION AND CLASS-ACTION WAIVER
Except for eligible small-claims matters or requests for temporary relief involving intellectual property, confidential information, account security, inventory protection, or unauthorized system access, unresolved disputes will be decided through binding arbitration.
Arbitration will be administered by the American Arbitration Association under the consumer or commercial rules applicable to the dispute.
Arbitration will take place remotely or in Broward County, Florida, unless applicable law or the arbitration rules require another location.
The parties will bring disputes individually.
To the extent permitted by law:
- No class action may be brought;
- No class arbitration is permitted;
- No party may act as a class representative; and
- The arbitrator may grant relief only to the individual claimant.
A customer may opt out of arbitration by emailing admin@bandzlandia.com within 30 days after first accepting these Terms.
The opt-out notice must include:
- The customer’s full name;
- Account email;
- Business name, if applicable; and
- A clear statement that the customer is opting out of arbitration.
SECTION 55 — ELECTRONIC COMMUNICATIONS AND ACCEPTANCE
You consent to receive invoices, contracts, notices, approvals, program information, and disclosures electronically.
Electronic acceptance may include:
- Checking an acceptance box;
- Signing electronically;
- Completing checkout;
- Paying an invoice;
- Approving a proof;
- Emailing approval;
- Enrolling in a program;
- Submitting inventory; or
- Continuing to use Services after receiving updated Terms.
Electronic records and signatures have the same effect as paper records and handwritten signatures to the extent permitted by law.
SECTION 56 — ORDER OF PRECEDENCE
If documents conflict, the following order controls:
- A signed project, program, inventory, or fulfillment addendum;
- A written statement of work or custom agreement;
- A written quote or invoice;
- A current program or product page;
- A separately posted policy applicable to the transaction;
- These Terms; and
- General marketing material.
SECTION 57 — ASSIGNMENT
You may not transfer your account, membership, rights, or obligations without Bandzlandia’s written consent.
Bandzlandia may assign these Terms to an affiliate, successor, purchaser, or entity acquiring substantially all relevant operations or assets.
SECTION 58 — SEVERABILITY AND WAIVER
If a provision is invalid or unenforceable, it will be modified only to the minimum extent necessary, and the remaining provisions will continue in effect.
Failure to enforce a provision is not a waiver of that provision or any future breach.
SECTION 59 — ENTIRE AGREEMENT
These Terms, together with applicable policies, addenda, program pages, quotes, invoices, and written agreements, constitute the agreement governing the Services and replace prior terms addressing the same subject matter.
The discontinued Fresh Bands and Retail Wall programs are not included in these Terms and are no longer offered.
SECTION 60 — SURVIVAL
Provisions concerning:
- Payment;
- Inventory;
- Payout reconciliation;
- Intellectual property;
- Confidentiality;
- Reviews;
- Taxes;
- Liability;
- Indemnification;
- Disputes; and
- Other obligations intended by their nature to survive
remain effective after termination.
