    BANDZLANDIA TERMS OF SERVICE

    SECTION 1 – OVERVIEW

    This website is operated by Bandzlandia LLC (“Bandzlandia,” “we,” “us,” or “our”). Throughout the site, the terms “you” and “Partner” refer to any user, vendor, brand, or participant engaging with Bandzlandia services.

    Bandzlandia provides retail placement, brand partnerships, manufacturing facilitation, marketing support, and related services (collectively, the “Services”).

    By accessing our website, enrolling in any Bandzlandia program, or placing products into a Bandzlandia-affiliated retail location, you agree to be bound by these Terms of Service (“Terms”), including all policies referenced herein.

    If you do not agree to these Terms, you may not access the Services.

    SECTION 2 – ELIGIBILITY & CONDUCT

    You represent that:

    • You are at least the age of majority in your jurisdiction

    • You have the legal authority to enter this agreement

    • You will not use Bandzlandia services for unlawful or unauthorized purposes

    • You will not submit infringing, illegal, or unethical products or content

    Violation of these Terms may result in immediate termination of Services.

    SECTION 3 – GENERAL CONDITIONS

    Bandzlandia reserves the right to:

    • Refuse service to anyone for any reason

    • Modify, suspend, or discontinue Services at any time

    • Enforce operational standards at its sole discretion

    All content transfers (excluding payment data) may occur over multiple networks. Payment information is encrypted during transmission.

    SECTION 4 – MODIFICATIONS TO SERVICES & PRICING

    Prices, tiers, features, and availability are subject to change without notice. Bandzlandia is not liable for any modification, suspension, or discontinuation of Services.

    SECTION 5 – PRODUCTS & SERVICES

    Products and services may be limited in quantity or availability. Bandzlandia does not guarantee sales performance or customer demand.

    SECTION 6 – BILLING & ACCOUNT ACCURACY

    You agree to provide accurate, current billing and account information. Bandzlandia reserves the right to refuse or cancel any order.

    SECTION 7 – THIRD-PARTY TOOLS & LINKS

    Bandzlandia is not responsible for third-party tools, websites, or services. Use at your own risk.

    SECTION 8 – USER CONTENT

    By submitting feedback, designs, or materials, you grant Bandzlandia a non-exclusive, royalty-free license to use such materials for operational and marketing purposes.

    SECTION 9 – PERSONAL INFORMATION

    Personal information is governed by our Privacy Policy.

    SECTION 10 – ERRORS & OMISSIONS

    Bandzlandia reserves the right to correct errors, inaccuracies, or omissions at any time.

    SECTION 11 – PROHIBITED USES

    You may not engage in unlawful, abusive, infringing, or unethical behavior. Violations may result in termination.

    SECTION 12 – DISCLAIMER OF WARRANTIES

    All services are provided “as is” and “as available.”
    Bandzlandia makes no guarantees regarding uninterrupted service or sales results.

    SECTION 13 – LIMITATION OF LIABILITY

    Bandzlandia shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed the amount paid by you in the prior 12 months.

    SECTION 14 – INDEMNIFICATION

    You agree to indemnify and hold Bandzlandia harmless from any claims arising from your breach of these Terms or your products, designs, or conduct.

    SECTION 15 – GOVERNING LAW

    These Terms are governed by the laws of the State of Florida, United States.

    SECTION 16 – TERMINATION

    Bandzlandia may terminate Services at any time for violation, non-payment, misconduct, or operational necessity. All obligations incurred prior to termination remain due.

    SECTION 17 – BANDZLANDIA RETAIL WALL PROGRAM

    Retail Wall Tiers

    $25 / Month – Starter Wall

    • 5 items on sales floor

    • No back stock

    $50 / Month – Growth Wall

    • 5 items on sales floor

    • 5 items back stock

    $100 / Month – Premium Wall

    • 10 items on sales floor

    • 10 items back stock

    Bandzlandia reserves the right to adjust placement for merchandising standards.

    Mandatory Rotation

    All partners must rotate non-performing items monthly. Failure to rotate may result in removal.

    Mandatory Monthly Meetings

    Attendance at monthly brand meetings is required and includes sales reviews, demand trends, and improvement guidance.

    SECTION 18 – IN-STORE SALES REVENUE SHARE

    All sales made through any Bandzlandia-affiliated physical retail location are subject to a mandatory 20% revenue share retained by Bandzlandia.

    This commission:

    • Applies to all retail tiers

    • Is deducted prior to payout

    • Covers staffing, POS, utilities, retail space, and operations

    • Is non-negotiable and non-refundable

    SECTION 19 – NON-PAYMENT & MERCHANDISE HANDLING

    If a partner fails to make a required monthly rental payment:

    1. Immediate Removal
      Merchandise will be removed from shelves.

    2. 72-Hour Grace Period
      Within 72 hours, the partner may:

      • Pay to renew and resume placement (original collection date applies), or

      • Pay for return shipping with no penalties

    3. Storage Fees
      After 72 hours, a $15 per day storage fee applies.

    4. 30-Day Removal
      After 30 days, the partner is removed from the Retail Wall Program.

    5. 60-Day Abandonment
      After 60 days, merchandise is deemed abandoned, and ownership transfers to Bandzlandia, including rights to sell, discount, donate, or dispose.

    SECTION 20 – NO STORAGE OR BAILMENT

    Retail Wall participation does not constitute a storage or bailment agreement. Bandzlandia is not liable for loss, theft, or damage beyond reasonable retail handling.

    SECTION 21 – BRAND PARTNER PACKAGES

    • 60/40 profit split

    • Biweekly Teams calls

    • 30-day content strategy

    • Monthly analytics call

    • Website feature

    • Access to Bandzlandia University

    Brand Partner Plus

    • $125 activation

    • $74.99/month

    • Includes all Legacy benefits

    • Backend fulfillment & hosting

    Bandzlandia may suspend or terminate access for non-payment or non-compliance.

    SECTION 22 – SHARED MARKETING CONSENT

    Partners grant Bandzlandia a non-exclusive license to use approved brand assets for shared marketing and promotions.

    SECTION 23 – PAYMENT AUTHORIZATION

    You authorize automatic billing for applicable fees. Missed payments may be deducted from sales proceeds. Fees are non-refundable.

    SECTION 24 – 1099 PAYOUTS & TAX RESPONSIBILITY

    All partners are independent contractors.

    • All payouts issued via 1099

    • No taxes withheld

    • Partners are responsible for reporting income

    • January onboarding period for payroll setup

    • Required documents include W-9, ID, and payout details

    • Payouts withheld until compliance is complete

    SECTION 25 – INTELLECTUAL PROPERTY RESPONSIBILITY

    Partners confirm they own or have rights to all submitted designs and indemnify Bandzlandia from infringement claims.

    SECTION 26 – CONFIDENTIALITY & NON-DISPARAGEMENT

    Confidential information may not be disclosed. Disparagement may result in termination.

    SECTION 27 – DISPUTE RESOLUTION

    Disputes shall be resolved by binding arbitration in Florida under AAA rules.

    SECTION 28 – ENTIRE AGREEMENT

    These Terms constitute the entire agreement and supersede all prior agreements.

    FINAL ACKNOWLEDGMENT

    By enrolling, submitting products, or receiving payouts, you acknowledge that you have read, understood, and agree to these Terms.
