Bandzlandia Terms and Conditions

Effective Date: December 16, 2024 (Updated: May 4, 2025)

By participating in Bandzlandia’s programs, you (“Subscriber,” “Brand Partner,” or “Brand”) agree to the following Terms and Conditions. These terms outline the benefits, responsibilities, and expectations of both the Bandzlandia Brand Partnership Subscription Program and the Fresh Bandz Shelf Space Rental Program.

🚀 Part 1: Bandzlandia Brand Partnership Subscription Terms

1. Subscription Agreement

Subscribing to a Bandzlandia Brand Partnership plan means you agree to automatic monthly payments for your selected subscription tier:

• Tier 1 Sub-Brand

• Tier 2 Sub-Brand+

• Tier 3 Premium Pack

• Tier 4 Elite Pack

Payments are automatically charged to the payment method you provide at checkout.

3. Subscriber Responsibilities

• Marketing & Promotion Costs: You are responsible for all marketing expenses (product samples, ads, ambassadors, etc.).

• Designer Merchandise Deposits:
  Bandzlandia covers production costs, except for designer-tier items, which require a refundable deposit (returned upon selling out).

• Tax & Payroll: Subscribers are paid as 1099 contractors via Square Payroll and must handle their own tax filings.

4. Intellectual Property

• Bandzlandia retains ownership of all intellectual property created during your subscription.

• If you terminate your subscription, Bandzlandia may continue selling your products, and you will no longer receive payouts unless you buy back your IP at market value.

5. Termination & Non-Payment

• 30-Day Grace Period: Late payments incur a 30-day grace period + $25 penalty fee.

• 60-Day Cutoff: After 60 days of non-payment, your brand is removed, and Bandzlandia may continue the brand independently.

6. Independent Contractor Status

Subscribers are independent contractors, not employees.

7. Payment Authorization

You authorize Bandzlandia to auto-charge your selected payment method monthly.

8. Updates to Terms

Bandzlandia may update these terms at any time, with notice provided via email or the website.

🏪 Part 2: Fresh Bandz Shelf Space Rental Program Terms

1. Program Overview

The Fresh Bandz Shelf Space Rental Program allows Brands to rent physical retail space at Fresh Fits Sneaker Club, giving exposure in one of Miami’s premier streetwear locations.

2. Display Options & Pricing

• Standard Shelf Space: $50/month
  10 products on display + 10 in backstock.

• Premium Shelf Space: $100/month
  20 products on display + 20 in backstock.

• Hat Rack Space: $30/month
  6 hats on display + 6 in backstock.

3. Payment Terms

• Monthly payments are due in advance and are non-refundable.

• Late payments may result in removal of your products from the display.

---

4. Product Responsibility

• Brands are responsible for delivering and restocking products.

• Fresh Fits maintains insurance for natural disaster, fire, theft, and damage but is not liable for normal wear and tear.

5. Stocking & Restocking

• You must supply initial stock and keep backstock replenished.

• Bandzlandia will notify Brands when stock is low and coordinate restocking.

6. Product Standards

• All products must meet Fresh Fits’ quality and compliance standards.

• Counterfeit or unauthorized goods are strictly prohibited.

7. Events & Promotions

• Brands may be included in events, pop-ups, and promotions at Bandzlandia/Fresh Fits’ discretion.

• Additional fees may apply for certain events.

8. Termination

• Either party may terminate shelf space with 30 days’ notice.

• Immediate termination may occur for:

  • Violation of store policies.

  • Failure to pay within 15 days after due date.

9. Liability & Indemnity

You agree to indemnify and hold harmless Bandzlandia and Fresh Fits from claims arising from your products.

By subscribing to Bandzlandia or reserving shelf space in the Fresh Bandz Shelf Space Rental Program, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
